Role Summary :
We are looking for a Company Secretarial Assistant to join Prism Cosec on a 12-month fixed-term basis to cover maternity leave. This role offers an excellent opportunity to gain experience within a leading company secretarial services team.
Working as part of a client delivery team, you will provide day-to-day company secretarial and administrative support, helping clients meet their statutory and regulatory obligations. This is an excellent opportunity for someone early in their company secretarial career who is looking to build experience within a professional services environment.
Core Company Secretarial Responsibilities:
Maintaining statutory records using Diligent Entities/Kube and other company secretarial systems
Managing compliance diaries and monitoring statutory deadlines
Preparing and filing statutory forms at Companies House, including Confirmation Statements
Drafting routine board and shareholder minutes
Preparing dormant company accounts
Incorporating new companies and managing post‑incorporation filings
Maintaining and updating minute books and ensuring proper document retention
Assisting with corporate governance reporting
Supporting wider client teams and contributing to peer reviews
Board support; skeleton minutes, agendas and collation of papers
Registered office cover and management
Expertise
Experience using Diligent Entities or similar company secretarial software (desirable)
Strong Microsoft Office skills, particularly Excel and PowerPoint
Competencies
A degree or equivalent qualification
Previous experience in a company secretarial or governance role (preferred but not essential)
An understanding of the UK Companies Act 2006
Excellent attention to detail and accuracy
Strong organisation and prioritisation skills
Clear written and verbal communication skills
A professional and discreet approach to confidential information
Confidence working with clients and colleagues at all levels
Studying towards (or holding) CGI/ICSA qualification is desirable but not essential.
